Mission Statement

The mission of TVGA is to promote the game of golf to the Vietnamese Canadians in the Toronto and surrounding areas.

Article I – Name and Definition

The name of this golf club is Toronto Vietnamese Golf Association (“TVGA” or “the Club”). The club does not own, lease, manage, operate or control a golf course; and is comprised of an organized group of 10 or more golfers who play together regularly at a variety of golf courses.


Article II – Purpose

The purpose of the club is to promote the game of golf to the Vietnamese Canadians in the Toronto and surrounding area, and to create a spirit of fellowship with other Vietnamese Golf Associations and Vietnamese golfers around the world.


Article III - Membership

Section 1 - Membership is available to all members in the community who are interested in the game of golf.

Section 2 - Some of the benefits available to all members include GAO membership, RCGA membership, computerized handicap, home delivery of Canada Golf and Ontario Golf magazines, eligible to participate in many member-only TVGA golf tournaments, and many others.

Section 3 - All applications for membership shall be made on the application form prescribed by the club. Every applicant for membership should agree to be bound by the terms and conditions of the Membership Plan, By-law and the rules and regulations of the club.

Section 4 - Memberships are individual and non-transferable.

Section 5 - Memberships are only issued to golfers with a reasonable and regular opportunity to play golf with fellow members and who can return scores for posting and calculation of handicap indexes by the club.


Section 6 - In the event that any member of the club shall commit any act that reflects discredit or disrepute on the club or shall refuse or neglect to comply with the rules and regulations adopted by the board of directors or the duly appointed officers of the club, such member shall be subject to suspension or expulsion after 10 days' written notice and the right to be heard, by a vote of not less than two-thirds of the board of directors, at any regular meeting or special meeting called for that purpose.

Section 7 - The club must always maintain a minimum of 10 members. In the event that there are less than 10 members in any season, the club shall cease operations until it meets this minimum requirement.

Section 8 - Non-member will be allowed to play in selected member-only TVGA tournaments as a guest with an extra premium charge equal to half of the annual membership fee at any one time. The number of guests (non-member participants) will be limited and pre-approved by the Board of Directors. Guests will not be eligible to participate in any competition in the member-only tournaments.  The TVGA reserves the right to restrict or decline guest participation.

 
Article IV - Meetings

Section 1 - The Annual Meeting of the Club (AGM) is to be held in or about the month of April. The Board of Directors shall provide notice, by posting to the club website, and publication in local Vietnamese newspapers, radio and other media, of such meeting at least 21 days prior to that date.

Section 2 - A quorum for any meeting is the greater of two-third of the membership or 10 members present in person or by proxy. Each active member in good standing is entitled to one vote.

Section 3 - A Director or Officer may participate in a meeting by means of telephone or other communications facilities that permit all persons participating in the meeting to hear each other.

 Section 4 - A resolution in writing signed (or submitted via e-mail from an accepted e-mail address) by all of the Directors or Officers entitled to vote on that resolution is as valid as if it had been passed at a meeting of Directors or Officers.

 
Article V: Dues

 Section 1 – Annual Membership Fee

All membership annual fees and dues is established by the Board of Directors from time to time in such amounts as they deem are adequate to operate and maintain the Club. Such fees and dues shall include membership dues payable to the Golf Associations of Ontario (GAO). Member’s GAO dues will be promptly remitted to the GAO. Members are liable for the annual dues until their written resignation has been received and accepted by the Board.

 Section 2 – Tournament Fees

Tournament fee is established by the Board of Directors prior to each tournament announcement to cover for all the expenses and costs for organizing the tournament.

Tournament registration is only accepted with FULL tournament fee payment.  Non-payment registration must have a Guarantor who is a member of the Board of Directors.  The Guarantor is responsible to provide FULL payment for the registration regardless whether the registrant shows up or not.

Late Registration:  Registration after the set deadline is accepted on a “waiting list” and can only participate should there be an available space.  Full payment must be provided for registration on the waiting list, which will be refunded if there is no available space.

Cancellation Policy:  Prepaid registration can be cancelled for full refund 7 days prior to event date or prior to the cancellation deadline set by the Board of Directors (cancellation deadline maybe set up to 14 days prior to event date depending on the course booking requirement).



Article VI - Board of Directors

Section 1 - The Board of Directors consists of seven members in good standing of the Toronto Vietnamese Golf Association and they shall exercise all powers of management of the club not specifically excepted by these By-laws.

Section 2 - An elected board member serves a two-year term.

Section 3 - At least five weeks prior to the AGM, the Board of Directors shall appoint a nominating committee consisting of three members of the Club. At least four weeks prior to the AGM, the committee shall submit to the Board and shall post upon the club website a list of nominees to fill any vacancies for the term of office beginning on the day of the meeting. Names of other members in good standing may be nominated by petition signed by at least three members and submitted to the Board at least two weeks prior to the Annual Meeting. At least one week prior to the Annual Meeting, a list of all candidates nominated shall be published in such a manner as to afford reasonable notice to the members of the proposed candidates.

Section 4 - Voting is by written ballot and those names receiving the greatest number of votes cast by those present and entitled to vote at the meeting shall be declared elected. The Board shall appoint a committee of three persons who are not members of the Board or candidates for election to supervise the elections.

Section 5 - The Board of Directors meet at such times and places as they may select and a majority of the board shall constitute a quorum at any meeting. However, at the minimum, the Board should meet four times throughout the year as follows:

 • May (within four weeks after the AGM) - orientation for new board members, and planning for the coming golf season.

• July - mid-season update.

• Oct/Nov - end-of-season update.

• Jan - end-of-season meeting to prepare for the AGM.

Section 6 - In the case of any vacancy through death, resignation, disqualification or other cause, the remaining Directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the Director whose place was vacant, and until the election of a successor.


Article VII - Officers & Committees

Section 1 - Within four weeks after the AGM and election, the Board of Directors is to meet and elect a President and six directors whose duties shall be such as their title would indicate or such as may be assigned to them respectively from time to time.

Section 2 - The six directors are:

• Director of Treasury

• Director of Administration

• Director of Public Relation

• Director of Rules & Regulation

• Director of Tournaments & Events, and

• Director responsible for Webmaster.

Section 3 – The elected President serves a maximum of two one-year terms.


Article VIII - Miscellaneous

The books, accounts and records of the Club shall be prepared each year upon the authority of the Board of Directors and approved by them. The statement shall be presented to the members at the AGM each year for approval by the members. The books, accounts and records shall be available for inspection by the members upon reasonable request and at such times and places as the Board of Directors shall designate.


Article IX - Amendments of Bylaws

The Board of Directors shall have the power to repeal or amend any of these Bylaws, provided that such action shall not be effective until approved by a two-thirds vote of the members of the Club at a meeting held in accordance with the provisions contained herein.


Article X - Waiver of Liability

Section 1 – Each member agrees that the club, its members, board of directors and representatives SHALL NOT BE LIABLE to the member for any claims, actions, costs, expenses, damages or demands in respect to death, injury, loss or damage to the member’s person or property, howsoever caused, arising out of or in connection with the membership in the club.


Section 2 - The provision of this article is binding on each member, and each member’s heirs, executors and guest(s).
